Board Changes

As announced on Friday 27 September 2002, FFastFill plc ("FFastFill" or "the Company") is pleased to announce the appointments of Keith Todd as Executive Chairman, Dr John Elmore as Director, Technology and Operations and Nigel Hartnell as Business Development Director with effect from 26 September 2002.

The company also announces that Nicholas Durlacher will be stepping down as Non-Executive Chairman to become a Non-Executive Director with effect from the company's AGM.

Biographical information
Keith Todd, who becomes Executive Chairman, was Chief Executive of ICL until August 2000. He then joined Dexterus, an IT services company. Keith joined ICL in 1987 as Finance and Business Strategy Director. During his tenure as Chief Executive, he successfully shifted the business away from a computer manufacturer to a services company with a turnover of £2.8 billion employing 22,000 staff in 40 countries. Keith is currently Non-Executive Chairman of ECsoft plc and Non-Executive Chairman of Easynet plc, both companies being listed on the London Stock Exchange. He is a Fellow of the Chartered Institute of Management Accountants.

Dr John Elmore, who becomes Director, Technology and Operations was formerly Director of Research at ICL until October 2000, after which he became Chief Technology Officer of Dexterus, an IT services company. Prior to joining ICL in 1991, he had been Director of Engineering at STC Telecommunications as well as having had 20 years with BT. Among his academic and professional qualifications John is a Fellow of the Institute of Electrical Engineers, a Fellow of British Computer Society, a Chartered Engineer and is a registered Eur.Ing.

Nigel Hartnell, who becomes Business Development Director, was Corporate Development Director of ICL until October 2000, prior to which he was director responsible for ICL Services. Most recently he was at Dexterus, an IT services company. During his period at ICL, he was a member of ICL's Operating Board as well as the Executive Management Committee. Nigel has been President of the CSSA (the Computer Services and Software Association) and Chairman of the DTI's e-commerce Working Group. He has an MA in Mathematics.

Share options
The Company will issue options to Mr Todd for 14,808,072 shares, to Mr Hartnell for 4,936,025 shares and to Dr Elmore for 4,936,025 shares;

  • the exercise price for the share options will be 7p
  • these options will vest in 3 tranches
  • tranches two and three being subject to the market capitalisation of the company reaching £14.45m and £24.45m respectively.

Other matters
There are no matters which are required to be announced as required under paragraph (f) of schedule 2 of the AIM rules.
