Acquisition: FFastFill announces acquisition of Future Dynamics Limited
FFastFill announces the acquisition of Future Dynamics Limited, a private company, for a consideration of 33,333,333 new ordinary shares in FFastFill plc.
Future Dynamics Limited is an international company of technology specialists and industry professionals with a history of service to the derivatives industry since 1992. It has operations in both London and Chicago. Its product suite reflects a workflow centric philosophy, which replaces manual methods and standard software applications with a more integrated, flexible and cost-saving approach. Future Dynamics offers solutions in electronic order routing, clearing management, post-trade risk administration and back office integration. In addition, Future Dynamics underpins each product with an extensive support and systems integration capability to address the specific needs of its clients.
FFastFill, the Application Services provider, is now planning to expand its market penetration both in the UK and the USA by combining its leading managed service offerings with the middle and back office functionality provided by Future Dynamics.
Future Dynamics Limited has been loss making over recent years and undertook significant re-structuring earlier in the year. Annual turnover on a pro-forma basis is just over £2 million. Net assets on completion while positive, are expected to be of a nominal value. During the current financial year to March 2005, FFastFill will be integrating the two companies and their product and service lines. It is expected that the acquisition will be earnings enhancing in the year to March 2006.
FFastFill is acquiring the entire issued share capital of Future Dynamics Limited. Application will be made for the 33,333,333 new ordinary shares being issued in consideration (which rank pari passu in all respects with the existing ordinary shares) to be admitted to AIM. Dealings are expected to commence in these shares on 15th July 2004.

markets. Future Dynamics provides us with both the complementary capabilities
in the middle office, and a presence both in London and Chicago with an additional
twenty-eight customers. Together we will now be able to offer a unique managed
order flow service to firms trading the derivatives markets across the world."
